1. Acceptance of Terms
By accessing or using the Contextier platform, website (contextier.com), APIs, SDKs, documentation, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
2. Description of Service
Contextier is an AI governance, memory, and orchestration platform that provides:
- AI request governance and policy enforcement
- Persistent memory and context management
- Multi-agent orchestration and workflow execution
- Multi-provider AI routing and optimization
- Workspace isolation and multi-tenant infrastructure
- Observability, audit trails, and cost tracking
The Service is provided as a cloud-hosted platform ("Platform") and may include APIs, SDKs, client libraries, and documentation.
3. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials, including API keys, and for all activity that occurs under your account. You must notify Contextier immediately of any unauthorized use.
4. Permitted Use
You may use the Service for lawful business purposes in compliance with these Terms. You agree not to:
- Use the Service to violate any applicable law or regulation
- Attempt to gain unauthorized access to the Service, other accounts, or related systems
- Reverse engineer, decompile, or disassemble any part of the Service
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to transmit malicious code, spam, or harmful content
- Resell, sublicense, or redistribute the Service without written authorization
- Use the Service to build a competing product or service
5. Your Data
You retain ownership of all data you submit to the Service ("Your Data"). By using the Service, you grant Contextier a limited license to process Your Data solely to provide and improve the Service.
Contextier implements workspace-based data isolation. Your Data is logically separated from other customers' data and is not accessible to other tenants. Contextier does not use Your Data to train AI models.
6. AI Provider Integration
The Service routes requests to third-party AI providers (such as OpenAI, Anthropic, Google, and others) on your behalf. Your use of these providers through Contextier is also subject to their respective terms of service. Contextier is not responsible for the outputs generated by third-party AI models.
You are responsible for providing your own API keys for third-party AI providers where required. Contextier encrypts stored provider API keys at rest.
7. Service Availability
Contextier strives to maintain high availability but does not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Contextier is not liable for any downtime or service interruptions.
8. Fees and Payment
Certain features of the Service may require payment. Fees, billing cycles, and payment terms are described on the pricing page or in a separate agreement. All fees are non-refundable unless otherwise stated. Contextier reserves the right to change pricing with 30 days' notice.
9. Intellectual Property
The Service, including its software, design, documentation, and branding, is owned by Contextier and protected by intellectual property laws. These Terms do not grant you any rights to Contextier's trademarks, logos, or brand assets.
You may use the Contextier name solely to identify your use of the Service, provided such use does not imply endorsement or affiliation beyond the customer relationship.
10. Confidentiality
Each party agrees to treat confidential information received from the other party with reasonable care. Confidential information includes API keys, account credentials, non-public product information, and business data. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
11. Limitation of Liability
To the maximum extent permitted by law, Contextier shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service.
Contextier's total liability under these Terms shall not exceed the amount you paid for the Service in the twelve months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Contextier, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Termination
Either party may terminate these Terms at any time. Contextier may suspend or terminate your access to the Service if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases immediately. You may request export of Your Data within 30 days of termination.
14. Changes to Terms
Contextier may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a revised "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Contextier operates, without regard to conflict of law principles.
